What is an Accredited Investor?

An accredited investor is an individual or entity that meets certain financial criteria established by securities regulators. Accredited investor status allows access to investment opportunities not available to the general public, including private placements, hedge funds, and certain alternative investments.

Under U.S. securities law (SEC Regulation D), an accredited investor must meet at least one of the following criteria:

Accredited Investor Qualification Criteria

Individual Income Test

Individual income exceeding $200,000 in each of the two most recent years (or $300,000 combined income with spouse) with a reasonable expectation of reaching the same income level in the current year.

Net Worth Test

Individual or joint net worth with spouse exceeding $1,000,000, excluding the value of your primary residence.

Professional Credentials

Holder of Series 7, Series 65, or Series 82 licenses in good standing, or other professional certifications, designations, or credentials recognized by the SEC.

Knowledgeable Employee

"Knowledgeable employee" of a private fund (as defined under the Investment Advisers Act).

Entity Qualification

Entity (such as a corporation, partnership, LLC, or trust) with total assets exceeding $5,000,000, or an entity in which all equity owners are accredited investors.

Family Office

Family office with at least $5,000,000 in assets under management, whose prospective investment is directed by a person with sufficient knowledge and experience in financial and business matters.

Investor Certification

I hereby certify that I meet the accredited investor criteria selected above. I understand that LX Exchange may request documentation to verify my accredited investor status. I acknowledge that providing false information may result in account suspension and legal consequences. I have read and understood the Risk Disclosures and accept all associated risks.
